Package Protection Terms

Effective September 2, 2026

THIS IS A BINDING LEGAL CONTRACT BETWEEN DISPUTELY LLC, A WYOMING LIMITED LIABILITY COMPANY ("COMPANY," "WE," "US"), AND YOU. "YOU" MEANS BOTH (A) ONLINE STORES AND MERCHANTS THAT INSTALL OR OFFER THE SERVICES ("STORES") AND (B) CUSTOMERS OF THOSE STORES WHO PURCHASE THE SERVICES ("END-USERS," AND TOGETHER WITH STORES, "USERS"). PLEASE READ THESE TERMS ("TERMS") CAREFULLY BEFORE ACCESSING OR USING PROTECT.SHOP, THE PROTECTION WIDGET, OR ANY RELATED SOFTWARE (COLLECTIVELY, THE "SITES"), OR PURCHASING OR OFFERING THE PACKAGE PROTECTION SERVICE DESCRIBED BELOW (THE "SERVICES"). BY ACCESSING OR USING THE SITES OR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SITES OR SERVICES.

1. The Package Protection Service

The Company allows Stores to install and use the Services so that their End-Users may purchase optional package protection ("Protection") for eligible items purchased from and shipped by the Store. The Services are an add-on to a Store's existing online storefront. Protection applies only to the order it was purchased with.

FOR THE AVOIDANCE OF DOUBT, BOTH STORES AND END-USERS EXPRESSLY ACKNOWLEDGE AND AGREE THAT: (A) THE PROTECTION PROVIDED THROUGH THE SERVICES IS NOT AND SHALL NOT CONSTITUTE INSURANCE OF ANY KIND WHATSOEVER; (B) IN THE EVENT OF LOSS, THEFT, OR DAMAGE OF PRODUCTS PURCHASED BY THE END-USER, UPON A FINAL DETERMINATION BY THE COMPANY — MADE IN THE COMPANY'S SOLE AND ABSOLUTE DISCRETION — THAT THE PRODUCTS WERE IN FACT LOST, STOLEN, OR DAMAGED, THE END-USER WILL BE PROVIDED WHICHEVER IS LESSER IN VALUE OF: (i) REPLACEMENT OF THE COVERED PRODUCTS, OR (ii) A REFUND OF UP TO $1,000 OF THE DECLARED VALUE (DEFINED BELOW) OF THE COVERED PRODUCTS; AND (C) PROTECTION IS PROVIDED ONLY TO ELIGIBLE END-USERS WHO PURCHASED PROTECTION FOR THE ORDER IN QUESTION.

(a) Declared Value. "Declared Value" means the price of the covered products as stated by the Store at the time the End-User purchased them, excluding shipping, taxes, and discounts applied after purchase.

(b) What Protection covers. Protection covers the delivery of the order it was purchased with against:

  • Loss in transit — the order never arrives and tracking shows no delivery.
  • Theft — the order is marked delivered by the carrier but was not received.
  • Damage — the order arrives physically broken or unusable.

(c) The Protection fee. The Protection fee is displayed at checkout before you complete your purchase and is charged as part of your order total. Protection is optional — you may decline it at checkout and complete your purchase without it. If you add Protection to an order that creates a recurring subscription, the Protection fee will also be added to each recurring shipment so that every delivery is covered. You may remove Protection from future shipments at any time by contacting the merchant or emailing support@protect.shop.

2. Claims procedure

(a) Timely notice. To file a claim, use the claims page or email support@protect.shop with your order number. You must notify the Company of any lost, stolen, or damaged products within the windows below, and in all cases no later than 90 days after the date of your order:

  • Lost in transit: file no earlier than 7 days after the last tracking update (20 days for international shipments) and within 30 days of the expected delivery date.
  • Theft: file within 15 days of the carrier's delivery scan.
  • Damage: file within 15 days of delivery and include photos of the damaged item and packaging.

Users acknowledge and agree that if timely notice is not provided as set out above, the User will not be provided any benefits of the Protection service and will not receive any refund of the Protection fee. Upon receiving notice, the Company will respond as soon as reasonably practicable.

(b) Resolution. Approved claims are resolved by a replacement of the covered items or a refund of the covered items. Where available, we will offer you a choice between the two; the final method of resolution, and the method of processing and shipping any replacement, is determined by the Company in its sole discretion.

(c) Additional verification. Users may be required to provide evidence that products were lost, stolen, or damaged — including photos, signed statements, or, for high-value theft claims, a police report. The determination of whether an item has been lost, stolen, or damaged is made by the Company in its sole and absolute discretion. Users agree to provide any additional information or documentation reasonably requested by the Company. The Company reserves the right to deny, delay, or reverse any claim that the Company reasonably believes involves fraud, abuse, misrepresentation, or any violation of these Terms.

(d) Ownership after a claim. Any lost, stolen, or damaged products for which the Company has provided a replacement or refund are deemed the property of the Company. You agree to ship to the Company, on request, any damaged products, and any previously lost or stolen products that later come into your possession.

3. What is not covered

  • Orders where Protection was not purchased.
  • Delivery delay alone, where the order ultimately arrives in acceptable condition.
  • Shipments sent to an address entered incorrectly at checkout, or packages held or returned by the carrier due to recipient unavailability.
  • Ordinary wear, manufacturing defects, or dissatisfaction with the product itself (these are handled under the merchant's return policy).
  • Items prohibited from shipment under applicable law or carrier rules.
  • Claims the Company reasonably determines to be fraudulent or abusive.

4. Fraud prevention, abuse, and investigations

The Company uses commercially reasonable efforts to identify suspicious, excessive, or repeated use of the Protection service. Users and the Company will cooperate to investigate any such activity, and the Company may take corrective action including refusing Protection to specific End-Users, barring End-Users from further use of the Services, requiring proof of loss (including police reports), pursuing legal action, and any other action the Company deems necessary.

5. Eligibility

By accessing or using the Sites or Services, you represent and warrant that you (a) have the right, authority, and capacity to enter into these Terms, (b) will abide by these Terms, and (c) are at least 18 years of age. Your eligibility to use the Sites and Services is contingent on your continued compliance with these Terms.

6. Right to use; restrictions

Subject to these Terms, the Company grants (i) Stores a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and make the Services available on their online storefront for the sole purpose of offering the Services to their customers, and (ii) End-Users a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Sites and Services. You shall not: (a) copy, modify, or create derivative works of the Sites or Services; (b) rent, lease, sell, sublicense, distribute, or otherwise make the Sites or Services available to any third party; (c) reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code of the Sites or Services; (d) bypass or breach any security measure of the Sites or Services; (e) use the Sites or Services to transmit unlawful, injurious, or malicious material or code; (f) interfere with or disrupt the Sites, Services, or the Company's provision of services to others; (g) remove or obscure any proprietary notices; (h) use the Sites or Services for competitive analysis or to build a competing product; or (i) use the Sites or Services beyond the scope of the authorization granted under these Terms.

7. Claim submissions

When you submit information in connection with a claim — including descriptions, photographs, and supporting documents ("Submissions") — you represent and warrant that your Submissions are accurate, that you own or have the right to provide them, and that they do not violate these Terms or applicable law. You grant the Company a royalty-free, worldwide, non-exclusive license to use, reproduce, and store your Submissions for the purposes of administering the Services, resolving claims, and preventing fraud. You are solely responsible for your Submissions.

8. Use of Stores' marks

Each Store grants the Company a limited, revocable, non-exclusive, non-transferable, royalty-free license to use the Store's trade names, trademarks, and logos as reasonably necessary to operate the Services, including in claim communications sent to that Store's customers. Each Store retains all right, title, and interest in and to its marks.

9. Third-party sites and content

The Sites and Services may contain links to or be accessed from websites and resources maintained by third parties, including Store storefronts and carrier tracking pages ("Linked Websites"). Linked Websites are provided for convenience only and you access them at your own risk. The Company is not responsible for, and does not endorse or warrant, the content of any Linked Website, and shall have no liability arising from your access to or use of any Linked Website.

10. Reservation of rights

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT NOTHING IN THESE TERMS GRANTS ANY RIGHT, TITLE, OR INTEREST IN OR TO ANY INTELLECTUAL PROPERTY IN OR RELATING TO THE SITES, SERVICES, OR ANY MATERIALS PROVIDED BY THE COMPANY, WHETHER EXPRESSLY, BY IMPLICATION, ESTOPPEL, OR OTHERWISE.

All right, title, and interest in and to the Sites, Services, and the Company's intellectual property remain with the Company, even if enhancements or changes are suggested by a User and incorporated into the Sites or Services.

11. Disclaimer of warranties

THE SITES AND SERVICES ARE PROVIDED "AS IS." THE COMPANY SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ALL WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE. WITHOUT LIMITING THE FOREGOING, THE COMPANY MAKES NO WARRANTY THAT THE SITES OR SERVICES WILL MEET ANY PERSON'S REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, ACHIEVE ANY INTENDED RESULT, BE COMPATIBLE WITH ANY SOFTWARE OR SYSTEM, OR BE SECURE, ACCURATE, COMPLETE, OR ERROR FREE.

12. Indemnification

You shall indemnify, defend, and hold harmless the Company and its subcontractors and affiliates, and each of their respective officers, directors, employees, agents, successors, and assigns, from and against any and all losses, damages, claims, actions, judgments, settlements, penalties, fines, costs, or expenses of whatever kind (including reasonable attorneys' fees) arising out of or resulting from: (a) your Submissions; (b) your use or misuse of the Sites or Services, or your violation of these Terms; and (c) any allegation of facts that, if true, would constitute your breach of any representation, warranty, covenant, or obligation under these Terms.

13. Limitation of liability

EXCEPT FOR THE REMEDY EXPRESSLY PROVIDED IN SECTION 1, IN NO EVENT WILL THE COMPANY OR ANY OF ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, OR SUPPLIERS BE LIABLE UNDER OR IN CONNECTION WITH THESE TERMS UNDER ANY LEGAL OR EQUITABLE THEORY, INCLUDING BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, FOR ANY: (a) LOSS OF PRODUCTION, USE, BUSINESS, REVENUE, OR PROFIT; (b) IMPAIRMENT, INABILITY TO USE, OR LOSS, INTERRUPTION, OR DELAY OF THE SITES OR SERVICES; (c) LOSS, DAMAGE, OR CORRUPTION OF DATA, OR BREACH OF DATA OR SYSTEM SECURITY; (d) COST OF REPLACEMENT GOODS OR SERVICES; (e) LOSS OF GOODWILL OR REPUTATION; (f) ANY DIRECT DAMAGES IN EXCESS OF $400.00; OR (g) CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, ENHANCED, OR PUNITIVE DAMAGES, REGARDLESS OF WHETHER SUCH PERSONS WERE ADVISED OF THE POSSIBILITY OF SUCH LOSSES OR DAMAGES OR SUCH LOSSES OR DAMAGES WERE OTHERWISE FORESEEABLE.

14. Termination

The Company may terminate this agreement and terminate a Store's or End-User's access to or use of the Sites and Services at any time for any or no reason. Without limiting the foregoing, the Company may immediately suspend or terminate any User's access to the Services, suspend or deny claims, delay or withhold reimbursements or other payments, recover amounts paid in error, or otherwise restrict use of the Services upon a reasonable belief of fraud, abuse, collusion, misrepresentation, suspicious activity, unauthorized use, manipulation of the Services, violation of applicable law, or any breach of these Terms. The Company may require additional documentation or verification before reinstating access or processing any claim or payment. All provisions of these Terms that by their nature should survive termination shall survive, including ownership, indemnity, limitation of liability, warranty disclaimers, and dispute procedures.

15. Modifications

These Terms may be updated or amended by the Company at any time. Updates become effective upon publication on this page, and your continued use of the Sites and Services constitutes acceptance of the updated Terms. The version in effect when you purchase Protection applies to that order.

16. Assignment

You may not assign any of your rights or obligations under these Terms, whether by operation of law or otherwise, without the prior written consent of the Company; any such assignment without consent is void. The Company may assign its rights and obligations under these Terms without limitation and without notice to you.

17. Electronic communications

Communications between you and the Company use electronic means. For contractual purposes, you (a) consent to receive communications from the Company in electronic form, and (b) agree that all terms, agreements, notices, disclosures, and other communications the Company provides to you electronically satisfy any legal requirement that such communications be in writing. The foregoing does not affect your non-waivable rights.

18. Third parties; force majeure

The Company may use third parties, including subcontractors and service providers, in the performance of its obligations under these Terms. The Company will not be liable or deemed in breach of these Terms for any failure or delay caused by circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, epidemics or pandemics, labor disturbances, governmental action, carrier or telecommunications failures, or shortages of power or transportation.

19. Privacy

Your personal data is collected, protected, and used by the Company in accordance with our Privacy Policy, which is incorporated into these Terms by reference.

20. Severability; entire agreement

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. These Terms, together with the Privacy Policy, constitute the entire agreement between the parties regarding their subject matter and supersede all prior discussions and writings with respect to that subject matter.

21. Governing law; dispute resolution

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without giving effect to any choice or conflict of law provision.

ANY LEGAL CLAIM, ACTION, OR PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS WILL BE SUBJECT FIRST TO MEDIATION BETWEEN THE PARTIES AND, IF MEDIATION IS UNSUCCESSFUL, TO BINDING ARBITRATION PURSUANT TO THE AMERICAN ARBITRATION ASSOCIATION ("AAA") COMMERCIAL RULES IN EFFECT AS OF THE DATE OF THE DISPUTE. THE ARBITRATION WILL BE CONDUCTED IN SHERIDAN, WYOMING, OR REMOTELY BY VIDEOCONFERENCE.

WAIVER OF JURY TRIAL: EACH PARTY IRREVOCABLY AND UNCONDITIONALLY WAIVES ANY RIGHT IT MAY HAVE TO A TRIAL BY JURY IN RESPECT OF ANY LEGAL ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR ANY TRANSACTION CONTEMPLATED BY THESE TERMS.
